These Vendor Terms and Conditions ("Terms") govern the relationship between Waapi ("Platform") and the vendors ("Vendor" or "You") who use our platform to offer their services or products. By registering as a Vendor, you agree to comply with these Terms.

2. Eligibility

Vendors must be legally authorized to sell their products or services and must provide accurate and complete information during the registration process.

3. Vendor Obligations

  • Compliance with Laws: Vendors must comply with all applicable laws, regulations, and standards related to their products or services.

4. Fees and Payment

  • Commission: The Platform may charge a commission on each sale made through the platform. The commission rate will be agreed upon during the vendor registration process.
  • Payment Terms: Payments will be made to the Vendor based on the agreed-upon schedule. The Platform reserves the right to withhold payments for any disputes or issues related to the Vendor's account.

5. Intellectual Property

  • Vendor Content: Vendors grant the Platform a non-exclusive license to use, display, and promote the Vendor's content (e.g., product images, descriptions) on the platform.
  • Platform Content: All content provided by the Platform remains the intellectual property of the Platform and may not be used without permission.

6. Data Privacy

The Platform will collect and process personal data in accordance with our Privacy Policy. Vendors must also comply with data protection laws in handling customer information.

7. Limitation of Liability

The Platform is not liable for any direct, indirect, incidental, or consequential damages arising from the Vendor's use of the platform, including but not limited to loss of profits, data, or business opportunities.

8. Termination

  • Termination by Vendor: Vendors may terminate their account at any time by providing written notice to the Platform.
  • Termination by Platform: The Platform reserves the right to terminate or suspend a Vendor's account for any violation of these Terms or any conduct deemed harmful to the Platform or its users.

9. Dispute Resolution

Any disputes arising from these Terms will be resolved through binding arbitration in accordance with the laws of [Your Jurisdiction].
